By accessing or using Sprout ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service. By using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Service operates on a prepaid credit system. Credits are used for:
Credits are purchased in packages at the prices listed on our website. All purchases are final. Credits do not expire but are non-refundable and non-transferable.
If your credit balance reaches zero, your instances will be paused. Data on paused instances is retained for 30 days. After 30 days of inactivity with zero balance, instances may be terminated and data deleted.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
You retain ownership of any content, data, or configurations you create on the Service. You grant us a limited license to host and transmit this data as necessary to provide the Service.
Credentials (API keys, tokens) are encrypted at rest using AES-256-GCM encryption. We do not access your credentials except when necessary to configure channel connections.
We strive for high availability but do not guarantee 100% uptime. The Service may be temporarily unavailable due to:
Credits are not refunded for brief outages. For extended outages (>24 hours), contact support to discuss credit adjustments.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPROUT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims arising from your use of the Service shall not exceed the amount you have paid to us in the 12 months preceding the claim.
This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).
You agree to indemnify and hold harmless Sprout, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
You may terminate your account at any time through the dashboard or by contacting support. Remaining credits are not refunded upon voluntary termination.
We may terminate or suspend your account immediately, without prior notice, for:
Upon termination, your right to use the Service ceases immediately. We may delete your data 30 days after termination.
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or dashboard notification at least 30 days before they take effect.
Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you disagree with changes, you must stop using the Service.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
